Article 1 General provisions

  1. These General Terms and Conditions (hereinafter referred to as the "Terms") apply to the use and purchase in the online shop villavinoraca.sk, www.villavinoraca.com, www.palugyay.sk, www.palugyay.com and its sub-pages.

  2. The subject of these Terms is the regulation of the rights and obligations of the contracting parties, namely the Seller on one side and the Buyer on the other, when using and purchasing on the online shop villavinoraca.sk, www.villavinoraca.com, www.palugyay.sk, www.palugyay.com.

  3. For the purposes of these Terms, the operator of the online shop and the Seller means the business company Villa Vino Rača a.s., with its registered office at Pri vinohradoch 2, Bratislava – Rača 831 06, Company Reg. No. (IČO) 00 190 268, a company registered in the Commercial Register of the District Court Bratislava I, Section: Sa, Insert No.: 3360/B, Tax ID: 2020332138, VAT ID: SK2020332138.

  4. For the purposes of these Terms, Buyer means any natural or legal person who concludes a purchase contract with the Seller by the procedure and under the conditions set out in these Terms. If the Buyer is a natural person, that person must be over 18 years of age; otherwise the Buyer is authorised to purchase only goods that do not contain alcohol.

Article 2 Definitions and interpretation of terms

  1. Unless expressly stated otherwise in these Terms or in the Contract, capitalised terms have the meaning set out below:
  • "Seller" means the business company Villa Vino Rača a.s., with its registered office at Pri vinohradoch 2, Bratislava – Rača 831 06, Company Reg. No. (IČO) 00 190 268, a company registered in the Commercial Register of the District Court Bratislava I, Section: Sa, Insert No.: 3360/B, Tax ID: 2020332138, VAT ID: SK2020332138.
  • "Buyer" means any natural or legal person who concludes a purchase contract with the Seller by the procedure and under the conditions set out in these Terms. A natural person must be over 18 years of age; otherwise the Buyer is authorised to purchase only goods that do not contain alcohol.
  • "Order" means a duly completed and submitted electronic order form containing information about the Buyer, the goods ordered from the shop's offer and the price of such goods and service.
  • "Goods" means goods sold by the Seller through the online shop. For the purposes of concluding the purchase contract, the specification of the goods stated in the Order is binding. Visualisations and images of the goods are for information purposes only.
  • "Purchase contract" means the purchase contract concluded between the Buyer and the Seller, the subject of which is the purchase of goods by the Buyer from the Seller.

Article 3 Conclusion of the purchase contract

  1. The purchase contract is deemed to be concluded upon confirmation of the Buyer's submitted Order. Submission of an Order means clicking the "Submit order" button when processing the shopping cart on the Site in the "Summary" section.

  2. By submitting the Order, the Buyer confirms unreserved agreement with these Terms in the wording valid on the date the Order is submitted.

  3. The purchase contract is concluded when the Seller confirms the Order. Confirmation of the Order is automatically displayed to the Buyer on the site and is also sent to the Buyer by email.

  4. The Buyer may cancel the purchase contract by sending an email to: sekretariat@villavinoraca.sk, odbyt@villavinoraca.sk.

Article 4 Right of withdrawal and order cancellation

  1. Right of withdrawal (consumers). In accordance with Act No. 102/2014 Coll. on consumer protection when selling goods or providing services on the basis of a contract concluded at a distance, the consumer has the right to withdraw from the contract without giving any reason within 14 days from the day of receipt of the goods.

  2. Exception for perishable goods. In accordance with Section 7(6)(d) of Act No. 102/2014 Coll., the right of withdrawal does not apply to goods that are subject to rapid deterioration or spoilage — including wine and other alcoholic beverages. The Buyer acknowledges that the 14-day right of withdrawal does not apply to orders of wine and alcoholic beverages.

  3. Order cancellation before dispatch. The Buyer is entitled to cancel the Order no later than the day of ordering by sending an email to: sekretariat@villavinoraca.sk, odbyt@villavinoraca.sk, stating the order number. An Order cannot be cancelled once it has been dispatched.

  4. The Seller is entitled to cancel an Order or parts thereof if the ordered goods are no longer manufactured, no longer supplied or are long-term unavailable. The Buyer will be informed of cancellation by email or telephone.

  5. In the case of a justified cancellation where a deposit for the purchase price has been paid, the Seller will refund the payment without undue delay, no later than within 3 working days.

Article 5 Delivery of goods

  1. Delivery of goods may, at the Buyer's choice, be carried out by:
  • Delivery by DPD courier — the Buyer is informed one day in advance of delivery via an SMS containing the parcel number and the estimated delivery time. Delivery time: 2 to 7 working days. Delivery price: €0.00 including VAT.
  • Cash on delivery by post — the delivery price is shown when selecting the delivery method.
  • Personal collection at Villa Vino Rača a.s., Pri vinohradoch 6427/2, 831 06 Bratislava – Rača — the Buyer is informed that the shipment is ready by SMS or email. Price: free of charge.

Article 6 Purchase price and payment terms

  1. Prices of goods are published on the online shop next to each item and are continuously updated.

  2. All prices are stated both including and excluding VAT, at the applicable rate as determined by the applicable legislation.

  3. The total purchase price is calculated as the sum of the unit prices of the goods ordered, according to the price list valid at the time the Order is placed, and appears in the Order before it is confirmed.

  4. Payment of the purchase price may be made in the following ways:

    • in cash or by payment card upon personal collection
    • in cash or by payment card upon receipt from the courier (cash on delivery)
    • online by payment card (CardPay)

Article 7 Warranty and conformity of goods

  1. Statutory warranty of conformity. In accordance with Act No. 40/1964 Coll. of the Civil Code and EU Directive 2019/771/EU, the Seller is responsible for ensuring that the goods are in conformity with the purchase contract and free of defects at the time of receipt. The consumer has the right to exercise claims arising from liability for defects in the goods within 24 months of receipt of the goods.

  2. Shelf life of food products. For goods of a food nature (including wine), the best-before date is stated directly on the packaging. The warranty is provided only if the storage conditions stated on the packaging are observed. The Seller may refuse a complaint if the defect may have been caused by improper storage at the customer's premises.

Article 8 Personal data protection

  1. Processing of the Buyer's personal data takes place in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and Act No. 18/2018 Coll. on personal data protection.

  2. The Seller processes the Buyer's personal data solely for the purpose of performing the purchase contract (order processing, delivery of goods, communication with the customer). The legal basis for processing is the performance of the contract pursuant to Article 6(1)(b) GDPR.

  3. The Buyer's personal data will not be provided to third parties, except to an external carrier to the extent necessary for delivery of the shipment.

  4. The Buyer has the right to access the Buyer's personal data, to correct or erase it, to restrict its processing, to data portability, and the right to lodge a complaint with the Office for Personal Data Protection of the Slovak Republic. These rights may be exercised in writing at the Seller's address or by email to sekretariat@villavinoraca.sk.

Article 9 Final provisions

  1. These Terms and the legal order of the Slovak Republic apply to all purchase contracts concluded through the Seller's online shop. The Seller reserves the right to amend these Terms; any amendment takes effect upon publication on the website. By submitting an Order, the Buyer confirms that the Buyer has read these Terms and agrees with them in full.

  2. Contractual relations between the Seller and the Buyer are governed by the relevant provisions of Slovak law. If the Buyer is a consumer, legal relations not regulated by these Terms are governed by Act No. 40/1964 Coll. of the Civil Code, Act No. 250/2007 Coll. on consumer protection, and Act No. 102/2014 Coll. If the Buyer is an entrepreneur, they are governed by Act No. 513/1991 Coll. of the Commercial Code.

  3. By submitting an Order for alcohol, the Buyer confirms that the Buyer is at least 18 years of age.

  4. If any provision of these Terms is or becomes invalid or ineffective, this does not affect the validity of the other provisions. The invalid provision will be replaced by a new one that corresponds as closely as possible to the meaning of the original provision.
