Article 1 General provisions

  1. These General Terms and Conditions (hereinafter referred to as the "Terms") apply to the use and purchase in the online shop villavinoraca.sk, www.villavinoraca.com, www.palugyay.sk, www.palugyay.com and its sub-pages.

  2. The subject of these Terms is the regulation of the rights and obligations of the contracting parties, namely the Seller on one side and the Buyer on the other, when using and purchasing on the online shop villavinoraca.sk, www.villavinoraca.com, www.palugyay.sk, www.palugyay.com.

  3. For the purposes of these Terms, the operator of the online shop and the Seller means the business company Villa Vino Rača a.s., with its registered office at Pri vinohradoch 6427/2, Bratislava-Rača 831 06, Company Reg. No. (IČO) 00 190 268, a company registered in the Commercial Register of the Bratislava III City Court, Section: Sa, Insert No.: 3360/B, Tax ID: 2020332138, VAT ID: SK2020332138.

  4. For the purposes of these Terms, Buyer means any natural or legal person who concludes a purchase contract with the Seller by the procedure and under the conditions set out in these Terms. If the Buyer is a natural person, that person must be over 18 years of age; otherwise the Buyer is authorised to purchase only goods that do not contain alcohol.

Article 2 Definitions and interpretation of terms

  1. Unless expressly stated otherwise in these Terms or in the Contract, capitalised terms have the meaning set out below:
  • "Seller" means the business company Villa Vino Rača a.s., with its registered office at Pri vinohradoch 6427/2, Bratislava-Rača 831 06, Company Reg. No. (IČO) 00 190 268, a company registered in the Commercial Register of the Bratislava III City Court, Section: Sa, Insert No.: 3360/B, Tax ID: 2020332138, VAT ID: SK2020332138.
  • "Buyer" means any natural or legal person who concludes a purchase contract with the Seller by the procedure and under the conditions set out in these Terms. A natural person must be over 18 years of age; otherwise the Buyer is authorised to purchase only goods that do not contain alcohol.
  • "Order" means a duly completed and submitted electronic order form containing information about the Buyer, the goods ordered from the shop's offer and the price of such goods and service.
  • "Goods" means goods sold by the Seller through the online shop. For the purposes of concluding the purchase contract, the specification of the goods stated in the Order is binding. Visualisations and images of the goods are for information purposes only.
  • "Purchase contract" means the purchase contract concluded between the Buyer and the Seller, the subject of which is the purchase of goods by the Buyer from the Seller.

Article 3 Conclusion of the purchase contract

  1. The purchase contract is deemed to be concluded upon confirmation of the Buyer's submitted Order. Submission of an Order means clicking the "Submit order" button when processing the shopping cart on the Site in the "Summary" section.

  2. By submitting the Order, the Buyer confirms unreserved agreement with these Terms in the wording valid on the date the Order is submitted.

  3. The purchase contract is concluded when the Seller confirms the Order. Confirmation of the Order is automatically displayed to the Buyer on the site and is also sent to the Buyer by email.

  4. The Buyer may cancel the purchase contract by sending an email to: sekretariat@villavinoraca.sk, odbyt@villavinoraca.sk.

Article 4 Right of withdrawal and order cancellation

  1. Consumer right of withdrawal. Under Slovak Act 108/2024, a consumer may withdraw from the contract without giving a reason within 14 days after receiving the goods. For goods from one order delivered separately, the period starts when the last item is received. Withdrawal is also possible before delivery. Sending the notice on the final day meets the deadline. If that day falls on a Saturday, Sunday or public holiday, the deadline moves to the next working day.

  2. Ordinary purchases of bottled wine. The right of withdrawal is not excluded solely because the goods are wine or another alcoholic drink. A statutory exception applies only if its conditions are met for the particular goods or contract. Rights concerning faulty goods remain unaffected.

  3. Notice and return procedure. Consumers may send their notice to sekretariat@villavinoraca.sk or Villa Vino Rača a.s., Pri vinohradoch 6427/2, 831 06 Bratislava-Rača, Slovakia. No reason or prior approval from the Seller is required. Dispatch of the order does not prevent the exercise of the statutory right of withdrawal. The return procedure, costs, refund deadlines and optional form are set out in our returns and faulty-goods policy. For business purchases, contractual order cancellation is available only on the day of ordering and before dispatch, by notice to sekretariat@villavinoraca.sk or odbyt@villavinoraca.sk; applicable statutory rights remain unaffected.

  4. The Seller is entitled to cancel an Order or parts thereof if the ordered goods are no longer manufactured, no longer supplied or are long-term unavailable. The Buyer will be informed of cancellation by email or telephone.

  5. In the case of a justified cancellation where a deposit for the purchase price has been paid, the Seller will refund the payment without undue delay, no later than within 3 working days.

Article 5 Delivery of goods

  1. Delivery of goods may, at the Buyer's choice, be carried out by:
  • Courier delivery within the Slovak Republic. The Buyer is informed by email once the order has been handed over to the courier. On the day of delivery the Buyer will be contacted by the courier by telephone. Delivery time: 1 to 2 working days. Delivery price: EUR 6.00 including VAT for orders up to EUR 79.99, free of charge for orders from EUR 80.00. Cash on delivery: free of charge.
  • International delivery. The Seller delivers to the following European Union countries: the Czech Republic, Poland, Austria, Hungary, Germany, Croatia, Slovenia and the Netherlands. Delivery times and shipping prices for each country are set out in the Shipping Policy, which forms part of these Terms. All international orders require payment in advance using an online method available at checkout. Cash on delivery is available only within the Slovak Republic.
  • You can collect your order free of charge only at Salón vín, Detvianska 6815/1 in Bratislava-Rača. Please wait for confirmation that your order is ready before visiting.
  1. Current shipping prices and delivery times for all countries are set out in the Shipping Policy. In the event of any conflict between these Terms and the Shipping Policy, the price displayed to the Buyer in the Order before confirmation prevails.
  2. Customers from countries not listed above may contact the Seller at sekretariat@villavinoraca.sk to arrange shipping individually.

Article 6 Purchase price and payment terms

  1. Prices of goods are published on the online shop next to each item and are continuously updated.

  2. All prices are stated both including and excluding VAT, at the applicable rate as determined by the applicable legislation.

  3. The total purchase price is calculated as the sum of the unit prices of the goods ordered, according to the price list valid at the time the Order is placed, and appears in the Order before it is confirmed.

  4. Payment of the purchase price may be made in the following ways:

    • in cash or by payment card upon personal collection
    • in cash or by payment card upon receipt from the courier (cash on delivery, within the Slovak Republic only)
    • online by payment card, PayPal or other methods available at checkout

Article 7 Faulty goods

  1. The Seller is responsible for faults present on delivery that become apparent within the statutory period, generally two years. Consumers may exercise their rights concerning faulty goods under the Slovak Civil Code. A fault must be reported within two months after discovery and within the applicable statutory period.

  2. Faults may be reported to sekretariat@villavinoraca.sk, by post to the company address or in person at our business premises. The Seller will promptly provide written acknowledgement and explain the next steps. We will resolve complaints within 30 days after they are raised.

  3. Depending on the statutory conditions, consumers may be entitled to a free repair or replacement, a proportionate price reduction or withdrawal from the contract. The Seller covers the costs of remedying faults for which it is responsible. Any rejection of liability must be explained in writing. The mere possibility of improper storage is not grounds for rejecting a claim.

  4. An opened bottle is not automatically excluded from a faulty-goods claim. Details and contact information are set out in our returns and faulty-goods policy.

Article 8 Personal data protection

  1. Processing of the Buyer's personal data takes place in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and Act No. 18/2018 Coll. on personal data protection.

  2. The Seller processes the personal data needed to handle orders, deliver goods and communicate with customers to perform the contract. Data is also processed to meet legal obligations, particularly accounting and tax requirements. Any further processing must have an appropriate legal basis under the GDPR.

  3. Providers of online shop, payment, delivery and accounting services process personal data to the extent necessary for their services. We also provide personal data to the competent authorities where required by law. Our privacy policy explains the processing and the rights of individuals.

  4. The Buyer has the right to access the Buyer's personal data, to correct or erase it, to restrict its processing, to data portability, and the right to lodge a complaint with the Office for Personal Data Protection of the Slovak Republic. These rights may be exercised in writing at the Seller's address or by email to sekretariat@villavinoraca.sk.

Article 9 Final provisions

  1. These Terms and the legal order of the Slovak Republic apply to all purchase contracts concluded through the Seller's online shop. The Seller may amend these Terms. The new version applies to orders submitted after it is published on the website. Contracts already concluded remain subject to the version in force when the relevant order was submitted; publishing a new version does not by itself change those contracts. By submitting an Order, the Buyer confirms that the Buyer has read these Terms and agrees with them in full.

  2. Contractual relations are governed by the applicable provisions of Slovak law. Consumer purchases are governed in particular by Act 40/1964, the Civil Code, and Act 108/2024 on consumer protection. Choosing Slovak law does not deprive consumers of protection under mandatory provisions of the law of their country of habitual residence where those provisions apply to the contract. Business purchases are governed by Act 513/1991, the Commercial Code.

  3. By submitting an Order for alcohol, the Buyer confirms that the Buyer is at least 18 years of age.

  4. If any provision of these Terms is or becomes invalid or ineffective, this does not affect the validity of the other provisions. The invalid provision will be replaced by a new one that corresponds as closely as possible to the meaning of the original provision.
